GENERAL TERMS AND CONDITIONS OF SALE EXPO LIGHT BV

Article 1: Identification

Article 2: Applicability

2.1. These general terms and conditions apply to all quotations, agreements, and deliveries of products (such as site cabinets, distribution cabinets, and related items) by Expo Light bv to the customer.
2.2. By placing an order, the customer acknowledges that they have read these terms and conditions and accept them unconditionally.

2.3. Any deviations from these terms and conditions are valid only if confirmed in writing by Expo Light bv. The customer’s general terms and conditions are expressly excluded.

Article 3: Quotations and Formation of the Agreement
3.1. All quotations from Expo Light bv are non-binding and valid for a period of 30 days, unless otherwise stated.
3.2. An agreement is only formed after written confirmation by Expo Light bv or upon commencement of the order’s execution.

3.3. For custom solutions, we rely on the information provided by the customer. The customer is responsible for the accuracy of this information.
For orders of custom solutions, Expo Light bv always prepares an electrical diagram that is made available to the customer.
The customer is responsible for thoroughly reviewing this diagram based on their specific needs and the applicable technical requirements at the location of use.

The customer’s approval of this design is binding for the subsequent production and the final result. This approval may be given explicitly (in writing or by email), but is also considered to have been granted tacitly as soon as the customer places the final order.

Any changes requested after this approval may result in a revision of the price and delivery time. Expo Light bv cannot be held liable for errors or defects in the delivered product that were already present in the design approved by the customer.

Article 4: Prices and Payment
4.1. All prices on the website and in quotes are expressed in euros and exclude VAT and other taxes, unless explicitly stated otherwise.
4.2. Shipping costs are not included in the product price and are listed separately during the ordering process.
4.3. Invoices are payable within the term stated on the invoice. In the absence of a term, a payment term of 30 days from the invoice date applies.

4.4. In the event of non-payment by the due date, default interest of 10% per annum shall be due by operation of law and without notice of default, as well as a lump-sum compensation of 10% of the invoice amount (with a minimum of €125).

Article 5: Delivery and Risk
5.1. Stated delivery times are purely indicative. A delay in delivery does not entitle the customer to compensation or termination of the agreement.
5.2. The risk of loss or damage passes to the customer at the moment the goods leave the warehouses of Expo Light bv or at the time of delivery to the location specified by the customer.

5.3. Any visible defects or shortages must be noted on the delivery note immediately upon delivery and reported in writing to Expo Light bv within 48 hours.

Article 6: Retention of Title
6.1. The delivered goods remain the exclusive property of Expo Light bv until full payment of the principal amount, interest, and costs.
6.2. The customer is prohibited from pledging or selling the goods until they have been paid for in full.

Article 7: Warranty and Conformity
7.1. Expo Light bv warrants that the products comply with the technical specifications and applicable safety standards.
7.2. The warranty is limited to manufacturing defects and does not apply to defects caused by misuse, overloading, improper maintenance, or modifications by third parties.
7.3. Our products are tested according to the highest standards for use in the construction, industrial, and events sectors.

Article 8: Liability
8.1. Expo Light bv is not liable for indirect damage, consequential damage, or lost profits (for example, due to a power outage at a construction site or event).
8.2. In any case, the total liability of Expo Light bv is limited to the amount of the order in question.

Article 9: Intellectual Property
All texts, photos, product names (including Thallo, Titan, Hercules), and designs on www.expolight.be are the property of Expo Light bv and may not be reproduced without prior written permission.

Article 10: Governing Law and Jurisdiction
10.1. All agreements are governed exclusively by Belgian law.
10.2. In the event of a dispute, only the courts of the judicial district where Expo Light bv has its registered office (Dendermonde/Ghent) shall have jurisdiction.
